Use of Maximos.

Customer Data

Customer retains all right, title, and interest in and to Customer Data — the materials and data Customer or its authorized users provide to the Services.

Customer grants Maximos a limited license to host, copy, process, transmit, display, analyze, transform, retrieve, and generate outputs from Customer Data as reasonably necessary to provide the Services, maintain the Services, secure the Services, support the customer, troubleshoot, comply with law, and improve the customer’s use and experience of the Services. This license does not transfer ownership of Customer Data to Maximos. Identifiable Customer Data is used primarily to serve that customer.

Maximos intellectual property

Maximos retains all right, title, and interest in the Services and in Maximos technology, including software, models, algorithms, workflows, prompts and templates owned by Maximos, scoring methodologies, schemas, interfaces, product design, system architecture, generalized know-how, improvements, derived platform capabilities, documentation, and other Maximos technology. Customer’s ownership of Customer Data does not give Customer ownership of Maximos IP that processes that data.

Usage Data and derived data

Maximos may collect and use Usage Data relating to the operation, performance, and use of the Services, including logs, telemetry, diagnostics, feature interactions, and usage patterns. Maximos may also create and use aggregated, statistical, de-identified, or otherwise non-customer-identifiable data and derived learnings.

Those categories — together with Feedback — may be used to operate and secure the Services, improve features, evaluate performance, develop benchmarks and evaluations, improve retrieval, ranking, recommendations, workflows, and models, and conduct analytics, research, and development. This does not grant Maximos ownership of raw Customer Data, and it does not permit Maximos to expose one customer’s identifiable deal information, documents, portfolio data, strategies, or proprietary content to another customer.

Outputs

Subject to these terms, Customer may use outputs generated for it in connection with its internal investment process. That use is subject to Maximos’s underlying intellectual property, third-party rights, applicable law, and the limitations of analytical and generative systems. Outputs do not assign to Customer Maximos’s methodology, prompts, software, scoring systems, or other reusable technology merely because they appear in or contribute to an output.

Confidentiality

Each party will protect the other party’s Confidential Information with reasonable care and use it only as needed to perform under the applicable agreement. Confidential Information means information a reasonable party would understand to be confidential, including deal materials, portfolio information, investment strategy, documents, financial information, notes, proprietary business information, and other Customer Data.

Confidential Information does not include information that becomes public without breach, was lawfully known beforehand, is received lawfully from a third party without duty of confidentiality, or is independently developed without use of the other party’s Confidential Information. Usage Data, telemetry, diagnostics, and aggregated or de-identified information used as described above are not Customer Confidential Information solely because they arise from operation or use of the Services.

Feedback

Maximos may use suggestions, ideas, feature requests, and other feedback you provide to operate and improve the Services without restriction or obligation to you. Feedback does not include Customer Data and does not transfer ownership of Customer Data.

Analytical outputs

The Services provide information and analysis for Customer’s internal use. Maximos does not guarantee the accuracy, completeness, or investment outcome of any output. Customer remains responsible for its decisions. Use of the Services does not, by itself, create a fiduciary, broker-dealer, investment adviser, legal, tax, or accounting relationship.

AI limitations

Some outputs are generated or assisted by automated and AI systems. Those outputs may be incomplete, probabilistic, or incorrect. Authorized users should review outputs before relying on them for a decision.

Fees

Fees are billed for the applicable deployment as agreed in writing. Annual plans are the public commercial model; early deployment payments, when used, may be credited toward the first annual period under a separate agreement.
